1. Agreement to Terms

By accessing or using ShackleAI (“the Platform”), operated by ShackleAI (“we”, “us”, “our”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Platform.

“Platform” refers to the ShackleAI website at shackleai.com, all APIs, SDKs, the ToolCloud service, the Gateway, the Vault, and any related services.

2. Description of Service

ShackleAI is the Operating System for AI Agents. The Platform provides:

Gateway — a unified MCP-compatible endpoint for agents to discover and access tools.
ToolCloud — managed hosting for MCP tool servers.
Vault — encrypted credential storage (AES-256) and OAuth connection management.
LLM Gateway — proxied access to language models with budget controls and rate limiting.
Governance — policy engine controlling what agents can access.
Observatory — real-time audit logging and analytics.

3. Account Registration

You must authenticate via GitHub OAuth to create an account. You are responsible for all activity under your account. You must not share API keys or session tokens. If you suspect unauthorized access, contact us immediately at useshackleai@gmail.com.

4. Acceptable Use

Your use of the Platform is subject to our Acceptable Use Policy. You agree not to use the Platform for any unlawful purpose or in violation of these Terms.

5. API Keys & Agent Identities

API keys (sk_shackle_*) are issued per-agent and are confidential. You must:

Keep API keys secret and never commit them to public repositories.
Rotate keys immediately if compromised.
Not exceed your tier’s rate limits (enforced automatically).

6. Subscription & Billing

Paid plans are billed monthly via Stripe. Prices are listed on our Pricing page. We may change pricing with 30 days’ notice. Refunds are handled on a case-by-case basis.

6.1 Free Tier

The free tier includes local use of memory-mcp (MIT licensed) and read-only access to the Tool Store. No credit card required.

6.2 BYOK (Bring Your Own Key)

When using LLM Gateway with your own provider keys, you are responsible for any costs incurred with the upstream provider (e.g., Anthropic, OpenAI). ShackleAI does not cover third-party API costs.

7. Data Handling

We process your data as described in our Privacy Policy. For enterprise customers, we offer a Data Processing Agreement.

7.1 Your Data

You retain ownership of all data you submit to the Platform, including agent configurations, tool definitions, and stored credentials. We do not use your data to train models or share it with third parties except as required to operate the service.

7.2 Data Storage

Data is stored in PostgreSQL (with pgvector for embeddings) on AWS infrastructure. Credentials in the Vault are encrypted with AES-256 at rest.

8. Service Availability

We aim for high availability but do not guarantee 100% uptime. The Platform is currently in pre-launch phase, running on a single VPS instance. We will provide advance notice of scheduled maintenance when possible.

8.1 SLA (Paid Plans)

Paid plans include a target of 99.5% monthly uptime. If we fall below this, affected customers may request service credits by contacting support within 30 days.

9. Intellectual Property

The Platform, its code, design, and documentation are owned by ShackleAI. Open-source components (e.g., memory-mcp) are licensed under their respective licenses (MIT). You may not reverse-engineer, decompile, or create derivative works from the proprietary portions of the Platform.

10. Limitation of Liability

To the maximum extent permitted by law, ShackleAI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless ShackleAI from any claims arising from your use of the Platform, your agents’ actions, or your violation of these Terms.

12. Termination

Either party may terminate the account at any time. We may suspend or terminate accounts that violate these Terms or the Acceptable Use Policy. Upon termination, we will delete your data within 30 days unless legally required to retain it.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or a notice on the Platform at least 14 days before they take effect. Continued use after changes constitutes acceptance.

14. Governing Law

These Terms are governed by the laws of India. Any disputes shall be resolved in the courts of Hyderabad, Telangana.
